Welcome to Authority Engine ("Company", "we", "our", "us"). These Terms of Service ("Terms") govern your use of the Authority Engine B2B software-as-a-service platform, including the Telegram bot integration, website synchronization, and AI generation tools (collectively, the "Service").
By registering for, accessing, or using the Service, you ("User", "you") agree to be bound by these Terms. If you do not agree, do not use the Service.
1. B2B Service Definition
Authority Engine is strictly a Business-to-Business (B2B) service designed for licensed real estate professionals and brokerages in the United States. The Service is not intended for consumer use. By creating an account, you represent and warrant that you are purchasing the Service for commercial, business, or professional purposes.
2. AI Output Disclaimer & Limitation of Liability
The Service utilizes Generative Artificial Intelligence (AI) and Large Language Models (LLMs) to synthesize public market data and draft content. You explicitly acknowledge and agree to the following inherent risks of AI technology:
- Hallucinations: The AI may occasionally generate factually incorrect, nonsensical, or logically flawed output ("hallucinations").
- No Real Estate/Legal Advice: The content generated by the Service does not constitute licensed real estate, financial, legal, or tax advice.
- No Financial Guarantees: We make no representations regarding the ROI, lead generation capabilities, or SEO rankings resulting from the use of the Service.
Limitation of Liability: To the maximum extent permitted by applicable law, Cogniterra Group, s.r.o. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, lost commissions, or reputational damage arising from your use of AI-generated content. Our total liability for any claims under these Terms shall not exceed the total amount you paid to us for the Service during the twelve (12) months immediately preceding the claim.
3. Fair Housing Compliance & Indemnification
You maintain absolute editorial control over all content. By clicking "Approve" via Telegram or manually publishing content generated by the Service, you assume full responsibility for the published material.
Indemnification: You agree to indemnify, defend, and hold harmless Cogniterra Group, s.r.o. and its officers from any external claims, lawsuits, fines, or penalties arising from your published content, specifically including but not limited to:
- Violations of the federal Fair Housing Act (FHA) or state equivalents (e.g., discriminatory language, steering).
- Violations of local Department of Real Estate (DRE) advertising regulations or National Association of Realtors (NAR) Code of Ethics.
- Defamation, libel, or copyright infringement claims from local MLS boards or third-party news outlets.
4. IP Assignment & AI Training License
Your Ownership: Upon full payment of your subscription fees, we assign to you all intellectual property rights in the final generated text output that you approve and publish.
Our License to Train: You grant us a perpetual, irrevocable, royalty-free license to use your input data, prompts, and submitted "Brand Voice" writing samples solely for the purpose of internal fine-tuning, anonymized dataset creation, and improving the accuracy of our underlying Retrieval-Augmented Generation (RAG) architecture. We will never share your raw, identifiable data with third parties.
5. Auto-Renewal & "Click-to-Cancel" Policy
Subscription Billing: The Service is billed on a subscription basis (monthly or annually). By providing your payment method, you authorize us (via our payment processor, Stripe) to automatically charge the applicable recurring fees.
Cancellation: In compliance with California (ARL) and Colorado (SB25-145) regulations, you may cancel your subscription at any time via a direct, simple "Click-to-Cancel" button located in your billing dashboard. Cancellation stops future billing but does not trigger a refund for the current billing cycle.
All Sales Final: Due to the digital nature of the B2B Service and the computational costs of AI generation, all paid fees are final and non-refundable.
6. Acceptable Use Policy
You agree NOT to use the Service to:
- Generate or disseminate deepfakes, non-consensual explicit content, or deceptive political misinformation.
- Operate automated spam farms, mass-generate fraudulent property listings, or intentionally deceive consumers.
- Reverse engineer, scrape, or systematically extract the underlying algorithms or datasets of the Service.
We reserve the right to immediately terminate or suspend accounts found in violation of this policy without refund.

These Terms shall be governed by and construed in accordance with the laws of the Czech Republic, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in the Czech Republic.
